By accessing or using cloutsyndicate.io ("Site") and the marketing services provided by Clout Syndicate ("we," "us," "our"), you agree to these Terms of Service. Please read them carefully.

1. Acceptance of Terms

Using our website or hiring our services means you accept these Terms. If you do not agree, please do not use our Site or services.

2. Services

Clout Syndicate provides AI-powered marketing services including but not limited to: content creation, paid advertising, search engine optimization, email and SMS automation, reputation management, and website design. Specific deliverables, timelines, and fees will be outlined in a separate Service Agreement signed by both parties before work begins.

3. Free Strategy Calls

Free strategy calls are offered for prospective clients to discuss marketing needs. Booking a call does not create a contract or obligation to purchase services.

All website content, branding, copy, and creative produced by Clout Syndicate remains our intellectual property until full payment is received. Upon full payment, ownership of final deliverables transfers to the client (excluding third-party assets, stock images, and Clout Syndicate's proprietary tools, frameworks, and AI prompts, which remain ours).

You may not copy, reproduce, or redistribute Clout Syndicate's website content or proprietary materials without permission.

While we use proven AI marketing strategies, we cannot guarantee specific results, traffic, leads, sales, or revenue. Marketing outcomes depend on many factors including market conditions, your product/service quality, pricing, competition, and ongoing client cooperation.

Past results from other clients do not guarantee similar outcomes for your business.

8. Third-Party Platforms

Our services often involve third-party platforms (Google, Meta, TikTok, YouTube, Mailchimp, etc.). We are not responsible for changes, outages, fee increases, or policy updates from these platforms that may affect your campaigns.

9. Termination

Either party may terminate the engagement with written notice as outlined in your Service Agreement (typically 30 days). Upon termination, you remain responsible for fees earned up to the termination date.

10. Confidentiality

We treat your business information, customer data, and strategies as confidential. We will not share your data with competitors or third parties except as needed to deliver services or as required by law.

11. Limitation of Liability

To the maximum extent allowed by law, Clout Syndicate's total liability arising from any service or claim shall not exceed the amount you paid us in the previous three (3) months. We are not liable for indirect, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold Clout Syndicate harmless from claims arising out of: (a) your business operations, (b) content you provide to us, (c) your violation of laws or third-party rights, or (d) your use of our deliverables.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Nevada, USA. Any disputes will first be addressed through good-faith negotiation. If unresolved, disputes will be settled by binding arbitration in Reno, Nevada under American Arbitration Association rules.

14. Modifications

We may update these Terms at any time. Continued use of our website or services after updates means you accept the revised Terms.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.
